2024 New York Road Runners Member Agreement

This agreement is made between you (“You”, “Your”) and New York Road Runners, Inc. (“NYRR”) for Your participation as a NYRR Member (“Member”, “Members”). NYRR Members are part of a global running community that through the power of running is creating a world where everyone benefits from the inspiration, motivation, and confidence that comes from putting one foot in front of the other.  In consideration of the opportunity to be a member and participate in events and offerings presented by NYRR (“Member Benefits”), You agree to comply with the following terms and conditions (the “Agreement”):

1.       Term. The term of this Agreement shall commence upon Your registration into NYRR Membership by executing this Agreement and shall automatically renew annually (“Term.”)

2.       NYRR Membership Benefits. You acknowledge and agree that access to Member Benefits is conditioned on Your continued compliance with the terms of this Agreement, NYRR event rules, Code of Conduct, and any other terms and conditions, and policies as communicated by NYRR. You understand and agree that You will comply with all rules, regulations, and similar conditions set by NYRR and/or the organizers of Membership and other NYRR events. 3.       Non-Refundable Membership Contribution.

A.    Contribution Amount. In consideration of the opportunity to register as a Member and access Member Benefits, You hereby agree to donate the contribution amount associated with the Membership tier that You select (the “Contribution Amount”) upon registration. You understand that Your contribution is non-refundable. You acknowledge that if You select a Membership at the Member or Member Plus tier Your Membership will automatically renew annually, unless You cancel Your Membership before the auto-renew date. 

B.    Unconditional Contribution.  You further agree that Your Contribution Amount shall be due to NYRR regardless of any change in Your ability, intent, or desire to participate in NYRR Member Benefits, for any reason, including but not limited to, injury, physical condition, pregnancy, financial hardship, or other extenuating circumstance._­­­­

C.  Tax Deductible. NYRR is a 501(c)(3) tax-exempt organization. A portion of Your Contribution Amount may be tax-deductible. 

D. Credit Card Charge for Contribution Amount.  You must provide a credit card (not a debit card) with an expiration date no earlier than the end of the month that you join as a Member with sufficient credit available to cover the Contribution Amount and any additional fees set forth herein (“Credit Card”).  You hereby authorize NYRR to charge the Contribution Amount to Your Credit Card, without demand or further notice to You, on the date of registration, and annually on the date of auto-renewal (auto-renewal does not apply to the Member Miler, Member 5K, and Member 10K Membership tiers). 

E.     NYRR Remedies.  If NYRR is unable to collect the Contribution Amount by processing Your Credit Card, NYRR may, without further notice or demand, exercise all its rights and remedies under this Agreement or under applicable law, including commencing an action to enforce its rights under this Agreement and to recover the full Contribution Amount. Any delay or forbearance by NYRR in the exercise of its rights will not operate as a waiver of those rights either with respect to such default or any other breach of this Agreement. If You fail to fulfill the Contribution Amount You will no longer be permitted to access Membership Benefits NYRR further reserves the right to prohibit You from participating in future NYRR events.

4.       Referral Program. You understand that by referring a friend to become a NYRR Member, NYRR is in no way obligated to share any portion of the revenue with You or grant You special benefits as a result. 

5.       Cancellation. You may cancel Your NYRR Membership by logging into your account and selecting “cancel” under the Membership tab.  If You cancel your Membership before the expiration date, You will have access to Member Benefits until Your Membership expires. If You want to cancel Your Membership and access to Member Benefits before the expiration date, You must contact NYRR Runner Services and submit a request to help.nyrr.org  If You cancel Your Membership, Your Contribution Amount will not be reimbursed. 

6.       No Refunds in the Event of Cancellation. If any of the Membership Benefits, events, or other NYRR events are cancelled for any reason, You acknowledge and agree that You will not be entitled to a refund of any Contribution Amounts received by NYRR. You acknowledge and agree that neither NYRR nor the organizers of the events or any other NYRR Member Benefits will be responsible to You for any costs or expenses incurred by You as a result of the cancellation of any event or any other NYRR Membership Benefits, or as a result of any change of the date/time or amenities offered to NYRR Members.

7.       NYRR Marks. All use of NYRR and Event logos or word trademarks, including but not limited to the “New York City Marathon” or any derivations thereof, are prohibited without express prior written approval from NYRR. Unapproved use of such logos or marks or other materials owned by NYRR may result, among other repercussions, in Your removal from NYRR Membership, events and future NYRR events.

8.     Publicity Release: You hereby  grant permission to NYRR to use, publish or license or authorize others to use, publish or license any photographs, motion pictures, video or sound recordings, and/or any other record of Your participation in NYRR events and any other NYRR Membership activities, including, but not limited to Your portrait, picture, likeness, image and/or personal information, such as name, age, gender, domicile, race results, club affiliation, for any purpose without remuneration. 

9.       Assumption of Risk, Liability Waiver and Release: 

A.    You recognize that Your participation in Membership Benefit events and in any other NYRR Membership activities as a NYRR Member , is a potentially hazardous activity and You willingly assume all risks associated with such participation, including, but not limited to, contagious diseases;  falls; contact with other participants, spectators, or others, or vehicular or other traffic; transportation accidents; the effects of the weather, including heat and/or humidity, poor air quality, wind, cold, and wet or slippery surfaces; physical injury from the act of running itself; falling tree branches or other overhead objects; traffic; and the crowded nature and other conditions of the course, all such risks being known and appreciated by You.  

B.     You, having read the foregoing, and knowing these facts, and in consideration of NYRR’s acceptance of Your registration as a NYRR Member, You for yourself and anyone entitled to act on Your behalf, do hereby waive, release, discharge, hold harmless, and covenant not to sue NYRR or its sponsors, and any of the directors, officers, employees, volunteers, representatives, agents, and successors of each of the foregoing (the “Releasees”), from any and all present and future claims and liabilities of any kind, known or unknown, arising out of Your registration as a NYRR Member and/or actual participation in Membership Benefits and events and any other NYRR Membership Activities.

10.    Class/Collective Waiver: You hereby agree that to the extent that You could pursue any claims against the Releasees, all claims must be pursued on an individual basis only. Your acceptance of this Agreement and completion of registration as a NYRR Member, You hereby waive Your right to commence, or be a party to, any class or collective claims or to bring jointly any claim against Releasees with any other person.

11.    Severability.  If any provision of this Agreement is held to be unenforceable under applicable law, this Agreement will continue in full force and effect without such provision and will be enforceable in accordance with its terms.

12.    Cumulative Remedies.  Other than as expressly stated herein, the remedies provided herein are in addition to, and not exclusive of, any other remedies of a Party at law or in equity.

13.    NYRR’s Failure or Delay to Exercise Rights.  NYRR’s failure to exercise or delay in exercising any right, power or privilege under this Agreement shall not operate as a waiver; nor shall any single or partial exercise of any right, power or privilege preclude any other or further exercise thereof.

14.    Termination. NYRR may terminate this Agreement immediately in its entirety by providing written notice.

15.    Compliance with Applicable Laws. The parties agree to comply with all applicable laws, rules and regulations.

16.    Choice of Law/Venue. This Agreement will be governed by and construed under New York law, without reference to conflict of law principles.  Any action or proceeding regarding this Agreement must be brought and maintained in a court of competent jurisdiction located in New York County, New York, and each party hereby submits to the exclusive jurisdiction of such court, waives any claim that such court is an inconvenient forum, and agrees to accept service of pleadings in any such action or proceeding if delivered personally or by first class mail at its address listed above.

17.    Entire Agreement. This Agreement constitutes the entire agreement between the parties.

ACKNOWLEDGMENT OF UNDERSTANDING: YOU HAVE READ THIS AGREEMENT, AND YOU FULLY UNDERSTAND ITS TERMS AND CONDITIONS AND UNDERSTAND THAT YOU ARE GIVING UP SUBSTANTIAL RIGHTS, INCLUDING YOUR RIGHT TO BRING ACTIONS AGAINST THE RELEASEES. YOU ACKNOWLEDGE THAT YOU ARE SIGNING AND ACCEPTING THE ASSUMPTION OF RISK, WAIVER/RELEASE FREELY AND VOLUNTARILY, AND THAT YOU INTEND, BY CONTINUING TO COMPLETE THE TFC MEMBER REGISTRATION, TO COMPLETELY AND UNCONDITIONALLY RELEASE THE RELEASEES TO THE FULLEST EXTENT ALLOWED BY LAW. 

YOU EXPRESSLY AGREE THAT THE WAIVER/RELEASE STATED ABOVE IS INTENDED TO BE AS BROAD AND INCLUSIVE AS PERMITTED BY THE LAWS OF THE STATE OF NEW YORK AND THAT THIS WAIVER SHALL BE GOVERNED BY AND INTERPRETED BY THE LAWS OF THE STATE OF NEW YORK. 

YOU AGREE THAT IN THE EVENT THAT ANY CLAUSE OR PROVISION OF THIS WAIVER/RELEASE SHALL BE HELD TO BE INVALID, THE INVALIDITY OF SUCH CLAUSE OR PROVISION SHALL NOT OTHERWISE AFFECT THE REMAINING PROVISIONS OF THIS WAIVER/RELEASE, WHICH SHALL CONTINUE TO REMAIN IN FULL FORCE AND EFFECT.

Acuerdo de Miembros de New York Road Runners de 2024

Este acuerdo se celebra entre usted (“Usted” y las referencias a segunda persona del singular que correspondan) y New York Road Runners, Inc. (“NYRR”) para su participación como Miembro de NYRR (“Miembro”, “Miembros”). Los Miembros de NYRR forman parte de una comunidad global de corredores que a través del poder de correr está creando un mundo en el que todos se benefician de la inspiración, la motivación y la confianza que se obtienen al poner un pie delante del otro. Como contraprestación por la oportunidad de ser Miembro y participar en eventos y ofertas presentados por NYRR (“Beneficios para Miembros”), usted acepta cumplir con los siguientes términos y condiciones (el “Acuerdo”):

1.        Plazo. El plazo de este Acuerdo comenzará en el momento de su registro en la Membresía de NYRR mediante la firma de este Acuerdo y se renovará automáticamente cada año (“Plazo”).

2.        Beneficios de Membresía de NYRR. Usted reconoce y acepta que el acceso a los Beneficios para Miembros está condicionado a su continuo cumplimiento de los términos de este Acuerdo, las reglas de los eventos de NYRR, el Código de Conducta y cualquier otro término, condición y política comunicada por NYRR. Usted entiende y acepta que cumplirá con todas las reglas, regulaciones y condiciones similares establecidas por NYRR y/o los organizadores de la Membresía y otros eventos de NYRR. 3.        Contribución de Membresía no reembolsable.

A.       Importe de la contribución. Como contraprestación por la oportunidad de registrarse como Miembro y acceder a los Beneficios para Miembros, por la presente acepta donar el importe de la contribución asociado al nivel de Membresía que seleccione (el “Importe de la Contribución”) en el momento del registro. Usted entiende que su contribución no es reembolsable. Usted reconoce que si selecciona una Membresía en el nivel de Member o Member Plus, su Membresía se renovará automáticamente cada año, a menos que la cancele antes de la fecha de renovación automática.

B.        Contribución incondicional. Además, acepta que su Importe de Contribución se deberá pagar a NYRR independientemente de cualquier cambio en su capacidad, intención o deseo de participar en los Beneficios para Miembros de NYRR, por cualquier motivo, incluyendo, entre otros, lesiones, condición física, embarazo, dificultades financieras u otras circunstancias atenuantes.

C.        Deducible de impuestos. NYRR es una organización exenta de impuestos 501(c)(3). Una parte de su contribución podrá ser deducible de impuestos.

D.       Cargo en la tarjeta de crédito por el importe de la contribución. Debe proporcionar una tarjeta de crédito (no una tarjeta de débito) con una fecha de caducidad no anterior al final del mes en que se inscriba como Miembro con suficiente crédito disponible para cubrir el importe de la contribución y cualquier cargo adicional establecido en el presente documento (“Tarjeta de Crédito”). Por la presente, autoriza a NYRR a cargar el importe de la contribución en su tarjeta de crédito, sin previo aviso ni notificación adicional, en la fecha de registro y anualmente en la fecha de renovación automática (la renovación automática no se aplica a los niveles de Membresía Member Miler, Member 5K y Member 10K).

E.        Recursos de NYRR. Si NYRR no puede cobrar el Importe de la Contribución mediante el procesamiento de su tarjeta de crédito, NYRR podrá, sin previo aviso ni demanda, ejercer todos sus derechos y recursos en virtud de este Acuerdo o de la ley aplicable, incluido el inicio de una acción para hacer valer sus derechos en virtud de este Acuerdo y recuperar el Importe de la Contribución total. Cualquier retraso o indulgencia de NYRR en el ejercicio de sus derechos no constituirá una renuncia a dichos derechos, ya sea con respecto a dicho incumplimiento o a cualquier otra violación de este Acuerdo. Si no cumple con el Importe de la Contribución, ya no se le permitirá acceder a los beneficios de Membresía. NYRR se reserva además el derecho de prohibirle participar en futuros eventos de NYRR.

4.        Programa de recomendación. Usted entiende que al recomendar a un amigo para que se convierta en Miembro de NYRR, NYRR no está obligado de ninguna manera a compartir ninguna parte de los ingresos con Usted ni a otorgarle beneficios especiales como resultado.

5.        Cancelación. Podrá cancelar su Membresía de NYRR iniciando sesión en su cuenta y seleccionando “cancel” (cancelar) en la pestaña Membresía. Si cancela su Membresía antes de la fecha de vencimiento, tendrá acceso a los Beneficios para Miembros hasta que expire su Membresía. Si desea cancelar su Membresía y el acceso a los Beneficios para Miembros antes de la fecha de vencimiento, debe ponerse en contacto con NYRR Runner Services y enviar una solicitud a help.nyrr.org. Si cancela su Membresía, no se le reembolsará su Importe de la Contribución.

6.        Sin reembolsos en caso de cancelación. Si alguno de los Beneficios de la Membresía, eventos u otros eventos de NYRR se cancelan por algún motivo, usted reconoce y acepta que no tendrá derecho a un reembolso del Importe de la Contribución recibida por NYRR. Usted reconoce y acepta que ni NYRR ni los organizadores de los eventos o cualquier otro Beneficio para Miembros de NYRR serán responsables ante Usted de ningún coste o gasto en el que Usted incurra como resultado de la cancelación de cualquier evento o cualquier otro Beneficio de Membresía de NYRR, o como resultado de cualquier cambio de fecha/hora o servicios ofrecidos a los Miembros de NYRR.

7.        Marcas de NYRR. Queda prohibido todo uso de los logotipos o marcas denominativas de NYRR y de los eventos, incluidos, entre otros, el “New York City Marathon” o cualquier derivación del mismo, sin la autorización previa por escrito de NYRR. El uso no autorizado de dichos logotipos o marcas u otros materiales propiedad de NYRR podrá dar lugar, entre otras repercusiones, a su expulsión de la Membresía de NYRR, de los eventos y de futuros eventos de NYRR.

8.     Autorización de publicidad: Por la presente, Usted otorga permiso a NYRR para utilizar, publicar o licenciar o autorizar a otros a utilizar, publicar o licenciar cualquier fotografía, película, video o grabación de sonido, y/o cualquier otro registro de su participación en eventos de NYRR y cualquier otra actividad de Membresía de NYRR, incluyendo, pero no limitado a su retrato, fotografía, aspecto, imagen y/o información personal, como nombre, edad, género, domicilio, resultados de carrera, afiliación a clubes, para cualquier propósito sin remuneración.

9.        Asunción de riesgos, renuncia y exención de responsabilidad:

A.       Usted reconoce que su participación en eventos de Beneficios para Miembros y en cualquier otra actividad de Membresía de NYRR como Miembro de NYRR es una actividad potencialmente peligrosa y asume voluntariamente todos los riesgos asociados con dicha participación, incluidos, entre otros, enfermedades contagiosas; caídas; contacto con otros participantes, espectadores u otras personas, o vehículos u otro tráfico; accidentes de transporte; los efectos del clima, incluido el calor y/o la humedad, mala calidad del aire, viento, frío y superficies mojadas o resbaladizas; lesiones físicas por el acto de correr en sí; caída de ramas de árboles u otros objetos elevados; tráfico; y la naturaleza concurrida y otras condiciones del recorrido, siendo todos estos riesgos conocidos y apreciados por Usted.

B.        Usted, habiendo leído lo anterior y conociendo estos hechos, y en consideración a la aceptación por parte de NYRR de su inscripción como Miembro de NYRR, Usted, en su nombre y en el de cualquier persona con derecho a actuar en su nombre, renuncia, exime, exonera, exime de responsabilidad y se compromete a no demandar a NYRR o a sus patrocinadores, y a ninguno de los directores, funcionarios, empleados, voluntarios, representantes, agentes y sucesores de cada uno de los anteriores (los “Eximidos”), de cualquier y todas las reclamaciones y responsabilidades presentes y futuras de cualquier tipo, conocidas o desconocidas, que surjan de su registro como Miembro de NYRR y/o participación real en Beneficios de Membresía y eventos y cualquier otra Actividad de Membresía de NYRR.

10.     Renuncia a demandas colectivas/de grupo: Por el presente documento, acepta que, en la medida en que pueda presentar reclamaciones contra los Eximidos, todas las reclamaciones deben presentarse únicamente de forma individual. Al aceptar este Acuerdo y completar el registro como Miembro de NYRR, por la presente renuncia a su derecho a iniciar o ser parte de cualquier reclamación colectiva o de grupo, o a presentar conjuntamente cualquier reclamación contra los Eximidos con cualquier otra persona.

11.     Divisibilidad. Si alguna disposición de este Acuerdo se considera inaplicable en virtud de la legislación aplicable, este Acuerdo seguirá en pleno vigor y efecto sin dicha disposición y será aplicable de acuerdo con sus Términos.

12.     Recursos acumulativos. Salvo lo expresamente establecido en el presente documento, los recursos previstos en el presente documento son adicionales y no excluyentes de cualquier otro recurso de una Parte en derecho o en equidad.

13.     Incumplimiento o retraso de NYRR en el ejercicio de derechos. El incumplimiento o retraso de NYRR en el ejercicio de cualquier derecho, poder o privilegio en virtud de este Acuerdo no constituirá una renuncia; ni el ejercicio único o parcial de cualquier derecho, poder o privilegio impedirá cualquier otro ejercicio o ejercicio posterior del mismo.

14.     Rescisión. NYRR podrá rescindir este Acuerdo de forma inmediata en su totalidad mediante notificación por escrito.

15.     Cumplimiento de las leyes aplicables. Las partes acuerdan cumplir con todas las leyes, normas y reglamentos aplicables.

16.     Elección de fuero/jurisdicción. Este Acuerdo se regirá e interpretará de acuerdo con la ley de Nueva York, sin referencia a los principios de conflicto de leyes. Cualquier acción o procedimiento relacionado con este Acuerdo debe ser presentado y mantenido en un tribunal de jurisdicción competente ubicado en el condado de Nueva York, Nueva York, y cada una de las partes se somete por la presente a la jurisdicción exclusiva de dicho tribunal, renuncia a cualquier reclamación de que dicho tribunal es un foro inconveniente y acepta la notificación de los escritos de demanda en cualquier acción o procedimiento de este tipo si se entregan personalmente o por correo de primera clase en su dirección indicada anteriormente.

17.     Totalidad del Acuerdo. Este Acuerdo constituye el acuerdo completo entre las partes.

RECONOCIMIENTO DE ENTENDIMIENTO: USTED HA LEÍDO ESTE ACUERDO Y ENTIENDE PLENAMENTE SUS TÉRMINOS Y CONDICIONES, Y ENTIENDE QUE ESTÁ RENUNCIANDO A DERECHOS SUSTANCIALES, INCLUIDO SU DERECHO A PRESENTAR ACCIONES LEGALES CONTRA LOS EXIMIDOS. RECONOCE QUE FIRMA Y ACEPTA LA ASUNCIÓN DE RIESGO, LA RENUNCIA/EXENCIÓN DE RESPONSABILIDAD LIBRE Y VOLUNTARIAMENTE, Y QUE TIENE LA INTENCIÓN, AL CONTINUAR CON EL REGISTRO DE MIEMBRO DE TFC, DE EXONERAR COMPLETA E INCONDICIONALMENTE A LOS EXIMIDOS EN LA MÁXIMA MEDIDA PERMITIDA POR LA LEY.

USTED ACEPTA EXPRESAMENTE QUE LA RENUNCIA/EXENCIÓN MENCIONADA ANTERIORMENTE TIENE POR OBJETO SER TAN AMPLIA E INCLUSIVA COMO LO PERMITEN LAS LEYES DEL ESTADO DE NUEVA YORK Y QUE ESTA RENUNCIA SE REGIRÁ E INTERPRETARÁ POR LAS LEYES DEL ESTADO DE NUEVA YORK.

USTED ACEPTA QUE EN CASO DE ALGUNA CLÁUSULA O DISPOSICIÓN DE ESTA RENUNCIA/EXENCIÓN DE RESPONSABILIDAD SEA CONSIDERA INVÁLIDA, LA INVALIDEZ DE DICHA CLÁUSULA O DISPOSICIÓN NO AFECTARÁ LAS DEMÁS DISPOSICIONES DE LA RENUNCIA/EXENCIÓN DE RESPONSABILIDAD, QUE CONTINUARÁN TENIENDO PLENA VIGENCIA.

3.        不可退还的会员出资。

A.       出资金额。作为注册为会员并获享会员权益之机会的对价，您特此同意在注册时捐赠与您所选择的会员等级相关的出资金额（“出资金额”）。您理解，您的出资金额不可退还。您承认，如果您选择 Member 或 Member Plus 等级的会员资格，则您的会员资格每年将自动续期，除非您在自动续期日期之前取消您的会员资格。

B.        无条件出资。您进一步同意，您的出资金额应支付给 NYRR，无论您参加获享 NYRR 会员权益的能力、意图或意愿是否因任何原因而发生任何变化，包括但不限于因伤害、身体状况、怀孕、经济困难或其他情有可原的情况。

C.        可免税。NYRR 是一家 501(c)(3) 免税组织。您的一部分出资金额可享受免税。

D.       出资金额的信用卡费用。您必须提供一张信用卡（非借记卡），其到期日不得早于您作为会员加入所在的月份末，并提供足够的信用额度，以支付出资金额和本协议所规定的任何额外费用（“信用卡”）。您特此授权 NYRR 于注册之日及每年自动续期之日向您的信用卡收取出资金额，而无需向您提出要求或发出进一步通知（自动续期不适用于 Member Miler、Member 5K 和 Member 10K 的会员资格等级）。

E.        NYRR 救济。如果 NYRR 无法通过处理您的信用卡来收取出资金额，则 NYRR 可在不另行通知或要求的情况下，行使其在本协议项下或适用法律下的所有权利和救济，包括提起诉讼以行使其在本协议项下的权利并追回全部出资金额。NYRR 在行使其权利时的任何延迟或延期，均不得视为放弃与此类违约或任何其他违反本协议的行为有关的权利。如果您未能履行出资金额，您将无法再获享会员权益，而 NYRR 进一步保留禁止您参加未来 NYRR 活动的权利。

4.        推荐计划。您理解，通过推荐一位朋友成为 NYRR 会员，NYRR 完全没有义务与您分享收入的任何部分或因此而授予您特殊权益。

5.        取消。您可以通过登录您的账户并在“Membership”（会员）标签下选择“cancel”（取消），来取消您的 NYRR 会员资格。如果您在到期日前取消您的会员资格，则可在会员资格到期前获享会员权益。如果您想在到期日之前取消您的会员资格并获享会员权益，则您必须联系 NYRR 跑步者服务并向 help.nyrr.org 提交请求。如果您取消会员资格，则您的出资金额将不予退还。

6.        取消情况下不予退款。如果任何会员权益、活动或其他 NYRR 活动因任何原因而被取消，您承认并同意，您将无权获得 NYRR 所收到的任何出资金额的退款。您承认并同意，对于因取消任何活动或任何其他 NYRR 会员权益或因向 NYRR 会员提供的日期/时间或便利设施的任何变更而使您承担的任何费用或开支，NYRR 或活动或任何其他 NYRR 会员权益的组织者概不负责。

7.        NYRR 标志。未经 NYRR 事先明确书面批准，禁止使用任何 NYRR 和活动徽标或文字商标，包括但不限于“纽约市马拉松”(New York City Marathon) 或其任何衍生品。未经批准使用 NYRR 拥有的此类徽标或标志或其他材料，除了会造成其他影响外，还可能导致您从 NYRR 会员资格、活动和未来 NYRR 活动中除名。

8.     公开发布：您特此允许 NYRR 为任何目的无偿使用、发布或许可或授权他人使用、发布或许可您参加 NYRR 活动和任何其他 NYRR 会员活动的任何照片、电影、视频或录音和/或任何其他记录，包括但不限于您的画像、图片、肖像、图像和/或个人信息，例如姓名、年龄、性别、住所、比赛成绩、俱乐部隶属关系。

9.        风险承担、责任放弃和免除：

A.       您了解，您以 NYRR 会员身份参加会员权益活动和任何其他 NYRR 会员活动存在潜在危险，您愿意承担与参加此类活动相关的所有风险，包括但不限于传染病；跌倒；碰触其他参与者、观众或其他人、车辆或其他交通工具；交通事故；天气的影响，包括高温和/或湿度、不良的空气质量、大风、低温以及潮湿或光滑的地面；跑步本身造成的身体伤害；坠落的树枝或其他高空物体；交通；以及赛道的拥挤和其他状况；您了解并理解所有这些风险。

B.        您，已阅读上述内容并了解这些事实后，作为 NYRR 接受您作为 NYRR 会员进行注册的对价，对于因您注册成为 NYRR 会员和/或实际参加会员权益和活动以及任何其他 NYRR 会员活动而产生的任何及所有现在和未来的任何已知或未知的索赔和责任，您代表您自己和有权代表您行事的任何人特此放弃、豁免、免除、确保免受损害，并承诺不起诉 NYRR 或其赞助商以及前述各方的任何董事、高级职员、员工、志愿者、代表、代理人和继承人（“被豁免人”）。

10.     放弃集体/团体索赔：您特此同意，如果您可以对被豁免人提出任何索赔，则所有索赔必须仅以个人名义提出。您接受本协议并完成以 NYRR 会员身份进行的注册，即表示您特此放弃您提起或成为任何集体或团体索赔的当事人的权利，或与任何其他人联合对被豁免人提出任何索赔的权利。

11.     可分割性。如果本协议的任何条款根据适用法律被认定为不可执行，则本协议将在没有此类条款的情况下继续完全有效，并可根据其条款予以执行。

12.     累计救济。除本协议明确规定的救济外，本协议提供的救济是对当事方在法律或衡平法上任何其他救济的补充，且不予排除在外。

13.     NYRR 未能行使或延迟行使权利。NYRR 未能行使或延迟行使本协议项下的任何权利、权力或特权不得视为放弃；任何权利、权力或特权的任何单次或部分行使也不妨碍该等权利、权力或特权的任何其他或进一步行使。

14.     终止。NYRR 可通过提供书面通知立即终止本协议的全部内容。

15.     遵守适用法律。双方同意遵守所有适用法律、规则和法规。

16.     法律选择/审判地。本协议受纽约州法律管辖并据其解释，而不考虑法律冲突原则。有关本协议的任何诉讼或程序必须在位于纽约州纽约县具有效管辖权的法院提起和进行，各方特此服从此类法院的专属管辖权，放弃关于此类法院是不便管辖法院的任何权利主张，并同意在任何此类诉讼或程序中接受诉状送达，如果以专人递送或通过第一类邮件递送，则送达地址见上文所列。
